Terms and Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (the “Customer”) and SellPe (“SellPe”, “we” or “us”) governing your use of the SellPe service and products (the “Service”).

Please read these Terms carefully. By using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you are not allowed to use the Service.

1. Service

SellPe provides an ecommerce website design service, app development, and other related services (the “Service”). We reserve the right to change, modify, or discontinue the Service at any time.

2. Payment

2.1. The Service will be charged on a monthly basis. The Customer will be invoiced in advance for the Service. All invoices must be paid in full within 30 days of the invoice date.

2.2. If payment is not received within 30 days of the invoice date, SellPe reserves the right to suspend or terminate the Service immediately.

3.Refunds

3.1. All payments are non-refundable and non-transferable.

3.2. If the Service is suspended or terminated due to non-payment, no refunds will be issued.

4. Limitation of Liability

IN NO EVENT WILL SELLPE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF SELLPE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). IN NO EVENT SHALL SELLPE’S TOTAL LIABILITY TO YOU FOR DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR USING THE SERVICE.

5. Warranty Disclaimer

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. SELLPE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AND EXPRESSLY DISCLAIMS AND NEGATES ALL OTHER WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY OR OTHER VIOLATION OF RIGHTS. FURTHER, SELLPE DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS CONCERNING THE ACCURACY, LIKELY RESULTS, OR RELIABILITY OF THE USE OF THE SERVICE OR OTHER MATERIALS ON ITS INTERNET WEBSITE OR OTHERWISE RELATING TO SUCH MATERIALS OR ON ANY SITES LINKED TO THIS WEBSITE.

6. Indemnification

You agree to indemnify and hold SellPe, its subsidiaries, affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Service in violation of these Terms and/or arising from a breach of these Terms and/or any breach of your representations and warranties set forth above.

7. Governing Law

These Terms and the relationship between you and SellPe shall be governed by the laws of India without regard to its conflict of law provisions.

8. Dispute Resolution

Any disputes, controversies, or differences arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of the arbitration shall be Mumbai, India. The language to be used in the arbitration proceedings shall be English.
